COINAGE — TERMS OF SERVICE

1. Who we are and what these Terms cover
These Terms of Service (the "Terms") govern your access to and use of the Coinage mobile application, web experience, APIs, and related services (collectively, the "Service") provided by Coinage App LLC ("Coinage," "we," "us," or "our"). By creating an account, connecting a brokerage or card, or otherwise using the Service, you agree to be bound by these Terms.
These Terms incorporate by reference our Privacy Policy (see below) and any additional terms we present for specific features (e.g., promotions, beta features). If you do not agree, do not use the Service.
2. Eligibility & Geographic scope
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service for trading or automation features. If you are 13–17, you may use only non-trading educational features with a parent/guardian’s consent where permitted by law.
- You may use the Service only in jurisdictions where we make it available and only in compliance with applicable law.
3. What Coinage is (and is not)
- Coinage is not a broker-dealer or investment adviser. We provide software that helps you connect to third-party brokerages via SnapTrade and to card/financial accounts via Plaid. All brokerage accounts are held at your chosen broker; orders are routed to and executed by your broker, not by Coinage. Nothing in the Service is individualized investment, legal, tax, or accounting advice.
- Self-directed use. Unless expressly stated in writing, information in the app (including market data, analytics, educational content, and automation suggestions) is general and not a recommendation. You are solely responsible for decisions and outcomes.
4. Key features (summary)
- Brokerage linking & trading. You can link eligible brokerage accounts through SnapTrade and place self-directed orders from within Coinage. Certain order types or assets may be unavailable depending on your broker or region.
- Selling automation. You may configure rules to sell assets to cover spending (per-transaction or at card statement due-date). You control which holdings are eligible, guardrails (e.g., profit-only/no-loss), and daily or per-order caps.
- Bank/credit card linking. You can link cards/accounts via Plaid to import transactions and liabilities snapshots that drive automation workflows.
- Premium features. Some features require an active subscription (e.g., Coinage Premium) administered by [RevenueCat/Apple/Google].
5. Trading & automation risks you accept
By using trading and automation features, you acknowledge and agree:
- Execution & market conditions. Orders are subject to market conditions, trading hours (including extended-hours risk), liquidity, price slippage, partial fills, halts, rejects, and brokerage/system outages. Order previews/“impact” estimates are not guarantees.
- Data delays and accuracy. Quotes, P&L, and analytics may be delayed, incomplete, or inaccurate. Market data and third-party content are provided “as is.”
- Taxes & wash sales. Automated or manual sells can trigger taxes, wash-sale adjustments, or other consequences. You are responsible for tax compliance and should consult a qualified advisor.
- Automation limits. We cannot guarantee that an automated sell will fully offset a given transaction or statement balance (e.g., market closed, holdings insufficient, broker reject, SnapTrade/Plaid downtime). You remain responsible for paying your card bills and managing cash flows.
6. Third-party services & terms
The Service integrates with third-party providers (collectively, “Third-Party Services”), including:
- Brokerage connectivity and order routing via SnapTrade;
- Bank/credit-card data via Plaid;
- Subscriptions and entitlements via [RevenueCat];
- Push notifications, analytics, crash reporting, and cloud hosting via selected vendors.
Your use of Third-Party Services may be subject to their own terms and privacy policies. Coinage does not control and is not responsible for Third-Party Services, their content, data practices, or availability. If a Third-Party Service becomes unavailable or its terms change, some features may not function.
7. Account registration & security
You agree to provide accurate information and to keep it current. You are responsible for safeguarding your credentials and devices and for all activity under your account. Notify us immediately at legal@coinage-app.com of any suspected compromise. We may require multi-factor authentication and take reasonable steps to verify requests that affect security.
8. Subscriptions, fees, and refunds
We may offer paid subscriptions or usage-based fees. Prices may change prospectively with notice. App-store purchases are subject to Apple/Google terms, including their refund policies. Unless stated otherwise, fees are non-refundable and taxes may apply.
9. Acceptable use
You will not: (a) use the Service for unlawful purposes; (b) circumvent security or rate limits; (c) scrape or harvest data except through permitted APIs; (d) reverse engineer, decompile, or create derivative works; (e) use automated means to access the Service except as we expressly allow; (f) interfere with others’ use; or (g) misrepresent your identity or affiliation.
10. Ownership; license; user content
The Service (including software, designs, text, graphics, and logos) is owned by Coinage or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, lawful use. You retain rights to content you submit, but grant us a non-exclusive license to host, process, and display it to operate the Service.
11. Beta features
We may offer features labeled as “beta,” “preview,” or similar. These may be incomplete or change at any time and are provided as-is with no warranties and no service-level commitments.
12. Disclaimers (no warranties)
THE SERVICE, CONTENT, MARKET DATA, AND THIRD-PARTY SERVICES ACCESSIBLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, COINAGE AND ITS PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, DATA ACCURACY, UPTIME, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, COINAGE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO COINAGE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain disclaimers or limitations; in such cases, these Terms apply to the maximum extent permitted.
14. Indemnification
You will defend, indemnify, and hold harmless Coinage, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any law or rights of a third party.
15. Dispute resolution; arbitration; class-action waiver
Please read this section carefully. It requires binding arbitration of most disputes and limits how you can seek relief from us.
- Informal resolution. Before filing a claim, you agree to contact us at legal@coinage-app.com and attempt to resolve the dispute informally within 30 days.
- Arbitration. Except for small-claims court or injunctive relief for IP/security, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by AAA under its rules. The seat of arbitration will be Seattle, Washington. The arbitrator may award individual relief only.
- Class-action waiver. You and Coinage agree that each may bring claims against the other only in an individual capacity, not as a class member or representative, and that class arbitrations, class actions, and private attorney general actions are not permitted.
- Opt-out. You may opt out of arbitration/class waiver by sending written notice to legal@coinage-app.com within 30 days after you first accept these Terms. Your opt-out will not affect other provisions.
16. Governing law; venue
These Terms are governed by the laws of the State of Washington, without regard to conflicts-of-law rules. For claims that are not subject to arbitration, the exclusive jurisdiction and venue will be the state or federal courts located in [King County, Washington].
17. Changes to the Service or Terms
We may modify or discontinue the Service (in whole or part) and update these Terms from time to time. We will post the updated Terms and update the “Last updated” date. Continued use after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.
18. Termination
We may suspend or terminate your access for any reason, including breach of these Terms, suspected fraud, or legal/regulatory requirements. Upon termination, Sections 10–18 survive.
